
The board of directors is comprised of individual members elected by the council delegates and empowered by law to act as a body (in meeting assembled) to make policy and corporate decisions and to govern the business affairs of the council. Each member brings her/his individual talents and expertise to help the board fulfill its role as stewards of the council’s assets and in providing corporate leadership. All board members must register as a member of Girl Scouts of the USA.

Major Responsibilities
| 1. | Participate in orientations and/or trainings available to prepare for board service, to learn more about the organization and to improve capability to fulfill all aspects of the board’s responsibilities. |
| 2. | Prepare for and participate in corporate meetings of the council and all board of directors’ meetings. |
| 3. | Be visible in the community, keeping informed of issues and concerns which may be relevant to the work of the Girl Scout council and which should be brought to the attention of the board and/or staff. |
| 4. | Ensure the council fulfills its local, state, and federal legal and corporate responsibilities and the charter obligations of Girl Scouts of the USA. |
| 5. | As a policy-making body, seek input as needed from the council membership and other relevant resources. |
| 6. | Participate in development and implementation of fund development efforts and contribute to the best of your ability. |
| 7. | Approve an annual budget and monitor the council’s financial resources. |
| 8. | Participate in the council’s strategic planning process. Review and approve corporate goals and annual operating objectives, providing direction for the organizational goals. |
| 9. | Appoint an executive director/chief executive officer to oversee the operations of the council and ensure an annual evaluation of this staff position. |
| 10. | Review reports from the executive director/chief executive officer to monitor progress of operational efforts in achieving the council’s mission. |
| 11. | Ensure annual objectives are established for the board and conduct an annual assessment of the board’s performance. |
| 12. | Ensure communication links between the adult membership and the board to encourage a system of policy influencing. |
| 13. | Review reports, newsletters and communications which help to keep the board informed regarding local, state and national Girl Scout initiatives. |
| 14. | Market Girl Scouting in your community and help interpret the goals and mission of Girl Scouting. |
| 15. | Participate in board appointed task groups or committees to help in fulfilling the board’s responsibilities. |
